Board Advisory is a firm of seasoned executive compensation consultants with extensive experience in financial services, including experience as “inside” executives within large banking institutions. Board Advisory provides full support for CEOs and compensation committees in their management of executive compensation, performance and succession planning processes for senior executives, including:
• Managing Pay and Organizational Risk: We help boards manage leadership risk, as well as provide counsel and analytic support to drive results while mindful of the impact of pay & incentives on enterprise risk.
• TARP Compliance: We help TARP organizations comply with related restrictions, including crafting compliant executive employment agreements and long-term incentive arrangements. For non-TARP institutions, we also help craft arrangements that also meet emerging risk standards and investor good-governance standards.
• Certifications, SEC Disclosure and Related Investor Issues: Boards and CEO’s are increasingly asked to certify or discuss various aspects of pay and pay policies. We provide the expertise, analytics and perspective to address this new obligations and better serve investors.
When engaged by the board, Board Advisory does not provide counsel to management unless specifically directed by the board of directors. We work with management, but not for management. Board Advisory delivers only senior-level advice and counsel, and clients are assured that senior advisors are always involved with all aspects of the engagement. Simply put, Board Advisory clients do not have junior issues, so Board Advisory doesn’t rely on junior staff.
